Job Summary: The Equinix Americas Commercial Transactions legal team is looking for a Contracts Manager. The Contracts Manager reviews and revises basic to more moderately complex Customer contracts, develops and enhances contract templates, and often coordinates with cross-functional stakeholders as needed.

Responsibilities

  • Drafts, reviews, revises and resolves "non-standard" language on simple to moderately complex Customer orders and agreements and Customer requests to ensure that the Customer orders and agreements accurately reflect the Customer’s and Equinix's position and are approved for Sales in a timely manner and in accordance with the Legal Playbook;

  • Must operate at an advanced level user on all supports systems used by the regional Contracts team, including but not limited to the CMS, Apttus, SFDC, or other AI that is implemented.

  • May be the primary negotiator on most sales deals and on moderately complex sales deals ranging from Equinix’s Global Terms and Conditions, to Digital Service Agreements leveraging their personal discretion and under the guidance of their manager or colleagues, or any legal counsel as necessary or required and in combination with the pre-approved modifications / Legal Playbook, to ensure contracts properly protect Equinix and are approved for the Sales or other business departments;

  • Helps to handle or review Orders that require additional negotiation or language adjustments (e.g., manual orders, order amendments, replacement orders);

  • Drafts and reviews Non-Disclosure Agreements and Novation Agreements that are not handled by Contracts Specialists, may also serve as an escalation point on such customer facing documents

  • Works directly with Sales, Sales Operations and Sales Engineers or Customer Service Managers on customer agreements and other relevant customer requests; may be expected to lead these efforts as needed

  • May be requested or required to lead and conduct additional contract research and interpretation, and, together with other Contract Team Members research findings, provides guidance on day-to-day issues, incl. transactional and non-transactional matters;

  • Prioritizes work based on deal size against bandwidth dedicated to other deals, one legal projects and personal development tasks and, whenever necessary checks prioritization with Director or Sr. Director;

  • Collaborates and supports the Director or Sr. Director or other legal management team members on non-Customer Contracts related tasks such as discovery support, litigation assistance and project-based initiatives such incl. reviewing and revisions on Product Descriptions or supporting the efforts of the SLED (State, Local and Education Districts) strike team;

  • Champions contract policy and procedure revision and improvement, by contributing suggested revisions to the PAMs/Playbook or comments on agreement templates and the Commercial Legal Playbooks.

Qualifications

  • Bachelor's degree

  • 3+ years experience in related field preferred

  • Spanish speaking and writing strongly preferred

  • Self?starter – you will need to be able to operate independently to complete the assigned tasks

  • Communication – must have strong verbal and written communications skills

  • Interpersonal/Professional Polish - need to coordinate and communicate with a variety of groups and positions within the Company. Excellent interpersonal skills are essential

  • Project Management – ability to organize and drive assigned tasks in an orderly and coherent manner.

  • Adaptability and fast learning – you will need to be able to pick up concepts from your on-the-job training and perform individual assignments quickly

  • Creativity – once you have direction, it will be up to you to bring us the best solution possible, including negotiating your own commercial deals.
