Position Overview:

We are searching for a talented, collaborative individual to join Global Legal Services and be part of our Legal Infrastructure and Foundational Excellence team to drive excellence in contract infrastructure. You will work collaboratively with all groups within the legal department to manage the updates of templates, playbooks, and business collateral. Individuals applying for this job: (i) are comfortable working independently with a high degree of autonomy; (ii) are willing to collaborate extensively with their team members and look for opportunities to optimize how we operate to scale support; (iii) have strong drafting skills; (iv) display an aptitude for digging into problems and finding creative solutions; and (v) have strong critical and strategic thinking skills. You may also have some responsibility to review and negotiate a broad range of agreements with VMware customers and partners, but this will not be your primary responsibility.


Responsibilities:

  • Draft and review new contract templates, playbooks, and business collateral based on the need of the legal department.
  • Identify, track, and assign refresh cadence to the broad range of contract templates, playbooks, and business collateral used in the VMware legal department which may include contracts for cloud services, software license, support, professional services, data privacy, and information security
  • Gather feedback from deal negotiators and compile that feedback for review and possible use in future revisions.
  • Ensure that formatting and organization of contract templates, playbooks, and business collateral is standardized across the legal department.
  • Benchmark internally and externally to stay on top of trends and best practices.
  • Draft communications to stakeholders notifying them when collateral is created or revised.
  • Collaborate and partner effectively with the Regional Counsel, VMware Business Units, Sales organization, Finance and Deal Management Teams.
  • Participate in special projects within the Legal Department to develop, implement and enhance processes and policies that improve transaction velocity, efficiency, and standardization without material increase in risk.
  • Provide training and counseling to other members of the GLS Team, Regional Counsel, Sales professionals, etc.

Required Skills:

  • Excellent contract negotiating, drafting, and influencing skills; expert knowledge of contract structures and types, contract principles, contract tools and systems, and automation functionality.
  • Passionate about innovating the legal service delivery model; possess a strong “service” mindset.
  • Excellent communication skills; practical and enthusiastic problem-solver who is confident and calm under fire and can work independently in a dynamic, fast-changing environment.
  • Critical and innovative thinker with excellent business sense and judgment.
  • Strong stakeholder management and interpersonal skills; ability to build consensus, create momentum, work cross-functionally with other departments and varying levels of management.
  • Comfortable facing new challenges and changes in direction; flexible in embracing frequent change in all forms.

Desired Skills:

  • Success in defining and documenting efficient and scalable solutions.
  • Strong project management skills.
  • Success in operations/shared services roles in the Cloud/SaaS software and technology environment; experience with Cloud/SaaS transactions.
  • Knowledge of process improvement transformation of infrastructure (templates, playbooks, etc.).
  • Knowledge of the IT industry, data protection, information security, privacy, and the latest trends in cloud services.
  • Knowledge and experience with change management best practices.

Required Experience & Qualifications:

  • Bachelor's degree or applicable experience.
  • Minimum of 8+ years of related experience.
  • In-house legal department and technology-related contracting experience.
  • Experience working successfully in a remote position, as well as working with cross-cultural, cross functional, high-performance teams.
  • Highest degree of personal and professional integrity and ethics.
  • High level of proficiency with Excel, PowerPoint and Word; strong presentation skills.
